1. GENERAL. The Tractor Beverage | Sprouts: Shop. Sip. Show. Sweepstakes’ (the “Sweepstakes”) is a sweepstakes where eligible participants may have the chance to win the prize described below. The foregoing is a general description only of this Sweepstakes and is qualified in its entirety by these Official Rules.

2. ADMINISTRATOR. The administrator of this Sweepstakes is AXS Group LLC (“AXS” or “Administrator”).

3. SPONSORS. The sponsor of the Sweepstakes is Tractor Beverage Co., having its principal place of business at 5613 DTC Pkwy Suite #610, Greenwood Village, CO 80111 (“Tractor Beverage”) (the “Sponsor”).

THIS SWEEPSTAKES IS IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH ANY SOCIAL MEDIA OUTLETS USED TO PROMOTE THIS SWEEPSTAKES, INCLUDING, BUT NOT LIMITED TO INSTAGRAM AND FACEBOOK.

4. ELIGIBILITY. This Sweepstakes is only open to individuals who, as of the beginning of the Entry Period (defined below): (i) are legal residents of the fifty (50) United States (the “Territory”); (ii) are at least eighteen (18) years old (or the age of majority in the entrant’s home jurisdiction) at the time of entry. This Sweepstakes is void outside the Territory and where prohibited or restricted by law.

Employees, officers and directors of Sponsor or Administrator, or their respective parents, affiliates, subsidiaries, divisions, and the immediate families (defined as parents, spouses, children, siblings, grandparents, and their respective spouses) or members of the same household (whether related or not) of each such employee, officer and director, are not eligible to enter. This Sweepstakes, and any website pages and advertisements relating thereto, is intended for viewing only within the Territory, and participants must be present in the Territory at the time they enter.

5. TIMING. This Sweepstakes begins at 10:00 AM Pacific Time on Sunday, February 1, 2026, and ends at 11:59PM Pacific Time on Saturday, February 28, 2026 (the “Entry Period”).

6. HOW TO ENTER. Each participant will earn one entry into the Sweepstakes drawing for each Qualifying Entry (as defined below). Each participant is limited to one (1) Qualifying Entry. A “Qualifying Entry” is the receipt by Administrator of the requested information using the Sweepstakes entry form provided at https://partners.axs.com/tractorsproutssweepstakes/ (the “Entry Form”) during the Entry Period. Requested information consists of first name, last name, email address, city and state. By entering in this Sweepstakes participant agrees to these Sweepstakes Official Rules, including all terms and conditions herein. All Qualifying Entries must be received by Administrator during the Entry Period in order to qualify for entry as described herein. Potential winners will be contacted by email sent to the email address provided in the Entry Form, with further instructions on how to claim the prize; failure to respond to the email message within five (5) days will result in disqualification, and a new potential winner will be selected in accordance with the process set forth in these Official Rules. Winners will be notified during the Notice Period as defined in Section 8 below.

Administrator will review all entries to confirm that the entries meet the qualifications set forth herein. Submissions that contain vulgarity, inappropriate content, originate outside the Territory, and/or otherwise do not confirm with the Official Rules shall not be deemed a Qualifying Entry. Additionally, by participating in this Sweepstakes participant consents to Administrator’s collection and usage of the content submitted in the Entry Form. Participants are also advised and agree that in the event they are selected as a potential winner, the Entry Form information and/or information collected by Administrator from the participant shall be shared with Sponsor and its marketing partners for the purpose of marketing communications and fulfilling the prizes awarded as set forth in Section 9 below. If any content submitted by a participant is not deemed a Qualifying Entry by Administrator, such entries will not be deemed eligible toward an entry into the Sweepstakes. In addition, if Administrator determines at any time that any participant does not meet the requirements set forth herein as determined by Administrator in its sole discretion, such participant will be disqualified from the Sweepstakes. All potential winners, participants and entries are subject to verification prior to the awarding of the prize. By participating in this Sweepstakes in any way, each participant fully and unconditionally agrees to be bound by and accepts these Official Rules and the decisions of Administrator (including, without limitation, decisions regarding eligibility of entries, the selection of participants and the winners, and the awarding of prizes), which are final and binding in all respects. In addition, if you are notified that you are a potential winner and you do not wish to accept the prize, you may decline the prize at that time.

7. PRIVACY. Participant acknowledges and agrees that by participating in the Sweepstakes in any manner, the information that the participant provides in the Entry Form (including any personal information) may be shared with Sponsor and its marketing partners for their respective business and marketing purposes in accordance with their respective privacy policies. Participant further acknowledges that they have read and accepted the terms of Sponsor’s and Administrator’s privacy policy.

8. DRAWINGS; ODDS; NOTIFICATION. Subject to the terms and conditions of these Official Rules:

Within a reasonable time after the end of the Entry Period, Administrator will first randomly select one (1) potential prize winner for the Tier 1 Prize and next will randomly select twenty (20) potential prize winners for the Tier 2 prize (as defined in Section 9 below), from among all eligible entries received by Administrator in the Sweepstakes during the Entry Period. Potential winners will be notified by March 3, 2026 (the “Notice Period”). Odds of winning any prize depend on the total number of Qualifying Entries received by Administrator in the Sweepstakes. No individual entrant is eligible to be a winner in more than one (1) contest or sweepstakes sponsored by Sponsor in any calendar month as determined by the ending date of the applicable contest or sweepstakes. In addition, the winner of the Tier 1 Prize will not be eligible to win a Tier 2 Prize. If prizes are not timely claimed, i.e., if prize is not claimed within five (5) days after timestamp on the email from Administrator, Administrator will randomly select an alternate potential winner. EXCEPT AS REQUIRED BY LAW, IF ANY PRIZE REMAINS UNAWARDED FOR ANY REASON AFTER THREE ATTEMPTS, THAT PRIZE WILL NOT BE AWARDED IN THIS SWEEPSTAKES.

Participants must comply with all terms and conditions of these Official Rules and winning is contingent upon fulfilling all requirements. Potential winners will be notified by email as provided on the Entry Form. Potential winners may, in Administrator’s discretion, be required to execute and return to Administrator an Affidavit of Eligibility and Release (an “Affidavit/Release”) in the form provided by Administrator, to claim their prize. Such Affidavit/Release must be returned to Administrator by the date and/or time indicated within such documents. If a potential winner does not reply to Sponsor’s email within five (5) days of the first attempt to contact them, or if a potential winner fails to return the Affidavit/Release or other required documentation within the specified time (if required), or if any prize or prize notification is returned as undeliverable, or if a potential winner is found to be ineligible, or if a potential winner does not comply with the Official Rules, then the potential winner will be disqualified and an alternate potential winner selected by Administrator or its designee in their place based on the selection criteria described above by Administrator for the Sweepstakes. In such event, an alternate potential prize winner will be notified as described above and will be required to return the required documents to Administrator as described above.

9. PRIZES. Tier 1 Prize (Grand Prize) – Subject to the terms and conditions of these Official Rules, a total of one (1) Tier 1 Prize will be awarded in the Sweepstakes. The Tier 1 Prize consists of the following: one (1) Sprouts Gift card in the amount of Five Hundred Dollars ($500), two (2) tickets to an AXS event taking place in 2026 (up to $1000 total value) and one (1) Tractor Beverage merchandise bundle (valued at $100). By claiming the two (2) AXS event tickets, both the Tier 1 Prize winner and their guest consent to AXS’ Terms of Use and the terms in the AXS Purchase Agreement and any other venue policies. Resale of event tickets is strictly prohibited. Selection of event seats are at the discretion of the Sponsors, promoter and/or venue personnel. All other expenses not specifically mentioned herein (including but not limited to taxes, travel and transportation), will not be provided and are solely the winner’s responsibility. Winner and guest must abide by all venue policies.

Tier 2 Prize – Subject to the terms and conditions of these Official Rules, a total of twenty (20) Tier 2 Prizes will be awarded in the Sweepstakes. Each Tier 2 Prize consists of the following: one (1) Sprouts Gift card in the amount of fifty ($50), and one (1) AXS Gift card in the amount of fifty ($50). Gift cards may only be redeemed on AXS.com and have no cash value. AXS Gift cards will be delivered to each winner via email through AXS’s gift card provider, GiveX. Use and redemption of AXS Gift card(s) is subject to any separate GiveX and/or AXS Gift card terms and conditions.

No purchase is necessary or required to access the prize. Prizes must be accepted as awarded, and prizes are awarded “AS IS” with no warranty, representation, or guarantee, express or implied, in fact or in law, made by Sponsor or Administrator, or for which Sponsor or Administrator shall be liable, INCLUDING, WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. No substitution, assignment or transfer of a prize is permitted, except by Sponsor and Administrator, who reserve the right (but not the obligation) to substitute an element of the prize with another prize of greater or equal value, including cash, if a prize element is not available for any reason, as determined by Sponsor or Administrator in their sole discretion. Each winner is solely and fully responsible for any and all costs, fees, taxes, assessments and expenses associated with the prize award, receipt and use, including, without limitation, all federal, state and local taxes on the prize. Winner must provide Administrator with a valid W-9 form before any prize is awarded and Administrator will issue winner an IRS Form 1099-MISC for the approximate retail value (“ARV”) of the prize won (for prizes valued US$600 or more, in accordance with IRS tax reporting requirements).

Only the number of each prize set forth in these Official Rules will be awarded. In the event that a technical error or any other mistake, failure or discrepancy causes more than the stated number of prizes as set forth in these Official Rules to be promoted, available, noticed or claimed, Sponsor and Administrator may award only the stated number of prizes by conducting a random drawing from among all legitimate, unawarded, eligible prize claims.

The approximate retail value (“ARV”) of the Tier 1 Prize awarded under this Sweepstakes is: One Thousand Six Hundred Dollars ($1600)

The ARV of each of the twenty (20) Tier 2 Prizes awarded under this Sweepstakes is: One Hundred Dollars ($100).

The ARV of all prizes awarded under this Sweepstakes is: Three Thousand Six Hundred Dollars ($3600).

10. PUBLICITY. Except where prohibited by law, participation in this Sweepstakes constitutes participant’s consent to Administrator’s and Sponsor’s (and their respective related entities, successors’, assignees’, designees’) use of winner’s name (first name and first initial of last name only), state of residence, for purposes of inclusion in the Winner’s List and for promotional purposes in any manner or media (including, without limitation, online), worldwide, and without further payment, consideration, notice or consent. All rights, consents and licenses granted to Sponsor and Administrator under these Official Rules or the Affidavit/Release will survive the termination of this Sweepstakes. Such consents and licenses may only be revoked by you in writing to Administrator or Sponsor, as applicable. The mere ending of this Sweepstakes is not sufficient to revoke such consents or licenses.

11. GENERAL CONDITIONS. Sponsor and Administrator reserve the right, in their sole discretion, to terminate or suspend this Sweepstakes: (i) if, in Administrator’s or Sponsor’s opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of this Sweepstakes; (ii) if viruses, bugs, unauthorized intervention, fraud, technical difficulties or failures or any other factor beyond Sponsor’s or Administrator’s reasonable control corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes; or (iii) the Sweepstakes is not capable of operating as intended, in Sponsor’s or Administrator’s sole discretion. In such event, Administrator reserves the right (but does not have the obligation) in its sole discretion to award any or all of prize(s) at random from among eligible, non-suspect Qualified Entries received up to the time of suspected impairment. Administrator reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of this Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately damage any website or undermine the legitimate operation of this Sweepstakes is a violation of criminal and civil laws, and, should such an attempt be made, Sponsor and Administrator reserve the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Sponsor’s or Administrator’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision or any other provision in these Official Rules.

12. RELEASE. By participating in this Sweepstakes in any manner, each participant in this Sweepstakes, forever and irrevocably releases and holds harmless Administrator, Sponsor, and each of their related entities, and their respective agents, employees, advertising and promotion agencies, parent, affiliates, subsidiaries, other related entities, and prize suppliers, and all of their respective employees, officers, directors, shareholders and agents from and against all claims, damages or liabilities arising in whole or in part, directly or indirectly, from participant’s participation and/or entry in this Sweepstakes and/or participant’s award, receipt or use of any prize awarded in this Sweepstakes.

13. LIMITATIONS OF LIABILITY. Administrator and Sponsor are not responsible for: (a) incorrect or inaccurate transcription of entry information or late, lost, unintelligible, illegible, damaged, mutilated, altered, incomplete, or misdirected entries or entries received through impermissible or illegitimate channels, all of which will be disqualified; (b) technical failures of any kind, including but not limited to the malfunctioning of any telephone, computer online systems, computer equipment, website, server provider, network, hardware or software, including without limitation Administrator’s publishing tools; (c) the unavailability or inaccessibility of any website or service; (d) unauthorized intervention in any part of the entry process or this Sweepstakes; (e) printing, typographical, electronic or human errors which may occur in the offer or administration of this Sweepstakes or the processing of entries; (f) any injury or damage to persons or property, including but not limited to participant’s computer, which may be caused, directly or indirectly, in whole or in part, from participant’s participation in this Sweepstakes, use of any prize awarded in the Sweepstakes, or from viewing or downloading any material from Administrator’s website, regardless of whether the material was prepared by Administrator or a third party, and regardless of whether the material is connected to Administrator’s website by a hypertext link; or (g) any costs, expenses, claims, or liabilities related to winner’s receipt or use of a prize awarded hereunder.

14. DISPUTES. Participant agrees that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded shall be resolved individually, without resort to any form of class action, and solely and exclusively in a federal or state court located in Los Angeles, CA; participant submits to sole and exclusive personal jurisdiction to said courts in the State of California for any such dispute and irrevocably waives any and all rights to object to such jurisdiction; (b) any and all claims, judgments, and awards shall be limited to actual out of pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys’ fees; and (c) under no circumstances will participant be permitted to obtain awards for and participant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participant or Sponsors in connection with this Sweepstakes shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules of provisions (whether of the State of California, the United States, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.

15. WINNER’S LIST. The winners list will be posted on the Sweepstakes landing page after the conclusion of the Sweepstakes, once all winners have been selected. Participant acknowledges that Administrator is obligated to either publish or make available information that indicates that a valid award has taken place, and as such, Administrator will send the First name, last name and state of residence of all prize winners to anyone who emails [email protected] within one (1) month of the Entry Period end date.
