1. GENERAL. The ‘Spectrum Life Unlimited Sweepstakes’ (the “Sweepstakes”) is a sweepstakes where eligible participants may have the chance to win the prize described below. The foregoing is a general description only of this Sweepstakes and is qualified in its entirety by these Sweepstakes Official Rules (the “Official Rules”).

2. ADMINISTRATOR. The administrator of this Sweepstakes is AXS Group LLC (“AXS” or “Administrator”). Administrator is the responsible party for promoting and running the Sweepstakes.

3. SPONSORS. The sponsors of the Sweepstakes are AXS, having its principal place of business at 110 E. 9th Street, B800, Los Angeles, California 90079; Anschutz Entertainment Group, Inc. (“AEG”), having its principal place of business at 800 West Olympic Blvd., Suite 305, Los Angeles, CA 90015, U.S.A (AXS and AEG are collectively referred to as the “Sponsors”). Charter Communications Operating, LLC dba Spectrum (“Spectrum”), is a marketing partner in this Sweepstakes. AXS, AEG and Spectrum and their respective employees, officers and directors, affiliates, subsidiaries, divisions, parent and related companies, suppliers, printers and advertising, promotional agencies are collectively referred to as the “Sweepstakes Entities”.

THIS SWEEPSTAKES IS IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH ANY SOCIAL MEDIA OUTLETS USED TO PROMOTE THIS SWEEPSTAKES, INCLUDING, BUT NOT LIMITED TO INSTAGRAM AND FACEBOOK.

4. ELIGIBILITY. This Sweepstakes is only open to individuals who, as of the beginning of the Entry Period (defined below): (i) are legal residents of the fifty (50) United States, excluding New York and Florida (the “Territory”); and (ii) are at least eighteen (18) years old at the time of entry. This Sweepstakes is void outside the Territory and where prohibited or restricted by law. Employees, officers and directors of Sweepstakes Entities, their respective parents, affiliates, subsidiaries, divisions, and the immediate families (defined as parents, spouses, children, siblings, grandparents, and their respective spouses) or members of the same household (whether related or not) of each such employee, officer and director, are not eligible to enter. This Sweepstakes, and any website pages and advertisements relating thereto, is intended for viewing only within the Territory, and participants must be present in the Territory at the time they enter.

5. TIMING. This Sweepstakes begins at 12:00 PM Pacific Time on Thursday, September 19, 2024, and ends at 12:00 PM Pacific Time on Friday, December 27, 2024 (the “Entry Period”). Please see Section 8 below for details regarding the Weekly Drawing (as defined in Section 8) for the Tier 1 Prize (as defined in Section 9).

6. HOW TO ENTER. Each participant will earn one entry for each Qualifying Entry (as defined below). Each participant is limited to one (1) Qualifying Entry. A “Qualifying Entry” is the submission of the requested information into the form provided (the “Entry Form”) on the Sweepstakes landing page at https://partners.axs.com/spectrum-sweepstakes/. By entering in this Sweepstakes participant agrees to the Official Rules, including all terms and conditions herein. All Qualifying Entries must be received by Administrator during the Entry Period in order to qualify for entry as described herein. Please see Section 8 for further details regarding qualification for entry for each Weekly Drawing for the Tier 1 Prize. Winners will be contacted by email sent to the email address provided in the Entry Form, with further instructions on how to claim a prize; failure to respond to the email message within forty-eight (48) hours may result in disqualification. Winners will be notified during the Weekly Drawing Notice Period or Grand Prize Notice Period as defined in Section 8 below. By participating in this Sweepstakes participant acknowledges and agrees to AXS’ Terms of Use.

Administrator will review all entries to confirm that the entries meet the qualifications set forth herein. Submissions that contain vulgarity, inappropriate content, third parties that are under the age of majority, originate outside the Territory, and/or otherwise do not conform to the Official Rules shall not be deemed a Qualifying Entry. Additionally, by participating in this Sweepstakes participant consents to Administrator’s collection and usage of the content submitted in the Entry Form. If any content submitted by participant is not deemed a Qualifying Entry by Administrator, such entries will not be deemed eligible toward an entry into the Sweepstakes. In addition, if Administrator determines that any participant does not meet the requirements set forth herein as determined by Administrator, such participant will be disqualified from the Sweepstakes. All participants and entries are subject to verification prior to the awarding of a prize. By accepting a prize in this Sweepstakes, each winner fully and unconditionally agrees to be bound by and accepts these Official Rules and the decisions of Administrator (including, without limitation, decisions regarding eligibility of entries, the selection of participants and the winners, and the awarding of prizes), which are final and binding in all respects. In addition, if you are notified that you are a potential winner and you do not wish to accept the prize, you may decline the prize at that time.

7. PRIVACY. Participant acknowledges and agrees that by entering into the Sweepstakes, the information that Participant provides in the Entry Form (including any personal information) may be shared with Sponsors and Spectrum for their respective business and marketing purposes, in accordance with their respective privacy policies. Participant can opt out at any time by clicking the unsubscribe link in any marketing email communication received from Sponsors or Spectrum. Participant further acknowledges that they have read and accepted the terms of each privacy policy.

8. DRAWINGS; ODDS; NOTIFICATION.

Subject to the terms and conditions of these Official Rules:

Tier 1 Prize: Administrator will randomly select between two hundred fifty (250) to three hundred (300) potential prize winner for the Tier 1 Prizes (as defined in Section 9 below) from among all eligible entries received by Administrator for the Sweepstakes, weekly, each Friday (the “Weekly Drawing”), beginning on Friday, September 20, 2024, through Friday, December 27, 2024 (the “Weekly Drawing Period”), for a total of four thousand (4,000) Tier 1 Prize winners. Participants may only submit one (1) Entry Form. In order to qualify for entry for the Weekly Drawing for the Tier 1 Prize Weekly Drawing, Administrator must receive participant’s Entry Form on or before 12:00 PM PT on Friday, during the Weekly Drawing Period. Depending on time of entry, once a participant’s Entry Form is received by Administrator, participant will be eligible for entry for each subsequent Weekly Drawing, except that once participant has been selected as a winner in Weekly Drawing, participant will not be eligible for entry to a subsequent Weekly Drawing, and any Tier 1 Prize winner(s) will not be eligible for entry to win the Tier 2 Prize (as defined in Section 9) drawing. Each winner of the Weekly Drawing will be notified by email each week, shortly after the Weekly Drawing, during the Weekly Drawing Period (the “Weekly Drawing Notice Period”).

Tier 2 Prize (Grand Prize): Administrator will randomly select one (1) potential prize winner for the Tier 2 Prize from among all eligible entries received by Administrator for the Sweepstakes, within three (3) business days after the close of the Entry Period, as set forth above in Section 5. Winner for the Grand Prize will be notified shortly thereafter (“Grand Prize Notice Period”).

Odds of winning a prize depends on the number of eligible entries received by Administrator in the Sweepstakes at the time of each drawing. Only one (1) Entry Form may be submitted per participant. Submitting multiple Entry Forms will not increase a participant’s chance of winning and may be subject to disqualification. No individual participant is eligible to be a winner more than once in this Sweepstakes or in more than one contest or sweepstakes sponsored by Sponsors in any calendar month as determined by the ending date of the applicable contest or sweepstakes. If prizes are not timely claimed, i.e., if prize is not claimed within forty-eight (48) hours after timestamp on the email from Administrator and/or Sponsors, Sponsors reserve the right to randomly select an alternate winner, time permitting.

Participants must comply with all terms and conditions of these Official Rules and winning is contingent upon fulfilling all requirements. Potential winners will be notified by email as provided on the Entry Form. Potential winners may, in Administrator’s discretion, be required to execute and return to Administrator an Affidavit of Eligibility and Release (an “Affidavit/Release”) in the form provided by Administrator to claim their prize. Such Affidavit/Release may be similar to an Affidavit/Release that Administrator shall require be acknowledged upon submission of the Entry Form. Such Affidavit/Release must be returned to Administrator by the date and/or time indicated within such documents. If a potential winner does not reply to Sponsor’s email within 48 hours of the first attempt to contact them, or if a potential winner fails to return the Affidavit/Release within the specified time, or if any prize or prize notification is returned as undeliverable, or if a potential winner is found to be ineligible, or if a potential winner does not comply with the Official Rules, then the potential winner may be disqualified and an alternate winner selected by Administrator or its designee in their place based on the selection criteria described above by Administrator for the Sweepstakes. In such event, an alternate potential prize winner will be notified as described above and will be required to return the required documents to Administrator as described above.

9. PRIZES.
Tier 1 Prize – Subject to the terms and conditions of these Official Rules, a total of four thousand (4,000), AXS Gift Cards, each in the amount of Twenty-Five Dollars (US$25) (the “Tier 1 Prize”), will be awarded in the Sweepstakes. A total of 4,000 (4,000) unique winners will be selected for the Tier 1 Prize.

Tier 2 Prize (“Grand Prize”) – Subject to the terms and conditions of these Official Rules, a total of one (1) Grand Prize will be awarded. The Grand Prize is one (1) One Thousand Dollar (US$1,000) AXS Gift Card.

Prizes will be delivered by AXS to each winner via email through AXS’s gift card provider, GiveX. Only one (1) Tier One Prize per winner is permitted. AXS Gift Cards may only be redeemed on AXS.com. By redeeming an AXS Gift Card participant acknowledges and agrees that such redemption will be subject to the terms in AXS’ Terms of Use and AXS’ Purchase Agreement.

No purchase is necessary or required to access the prize. Prizes must be accepted as awarded, and prizes are awarded “AS IS” with no warranty, representation, or guarantee, express or implied, in fact or in law, made by Sweepstakes Entities or for which Sweepstakes Entities shall be liable, INCLUDING, WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. No substitution, assignment or transfer of a prize is permitted, except by Sponsors, who reserve the right (but not the obligation) to substitute a prize with another prize of greater or equal value, including cash, if a prize is not available for any reason as determined by Sponsors in their sole discretion. Each winner is solely and fully responsible for any and all costs, fees, taxes, assessments and expenses associated with prize award, receipt and use, including, without limitation, all federal, state and local taxes on the prize. In the event the approximate retail value of the prize is $600 or more, winner must provide Administrator with a valid W-9 form before any prize is awarded and Administrator will issue winner an IRS Form 1099-MISC for the approximate retail value of the prize won.

The approximate retail value (“ARV”) of the Tier 1 Prizes awarded under this Sweepstakes is: Twenty-Five Dollars (US$25), per prize (and One Hundred Thousand Dollars (US$100,000) for all Tier 1 Prizes awarded).

The ARV of the Tier 2 Prize awarded under this Sweepstakes is: One Thousand Dollars (US$1,000).

The ARV of all prizes awarded under this Sweepstakes is: One Hundred One Thousand Dollars (US$101,000).

10. PUBLICITY. Except where prohibited by law, participation in this Sweepstakes constitutes participant’s consent to Sweepstakes Entities’ use of winner’s name (first name and first initial of last name only), state of residence, for purposes of inclusion in the Winner’s List and for promotional purposes in any manner or media (including, without limitation, online), worldwide, in perpetuity, and without further payment, consideration, notice or consent.

11. GENERAL CONDITIONS. Administrator reserves the right, in its sole discretion, to terminate or suspend this Sweepstakes: (i) if, in Administrator’s opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of this Sweepstakes; (ii) if viruses, bugs, unauthorized intervention, fraud, technical difficulties or failures or any other factor beyond Sweepstakes Entities’ reasonable control corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes; or (iii) for any other reason in Administrator’s sole discretion. In such event, Administrator reserves the right (but does not have the obligation) in its sole discretion to award any or all of prize(s) at random from among eligible, non-suspect entries received up to the time of suspected impairment. Administrator reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of this Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately damage any website or undermine the legitimate operation of this Sweepstakes is a violation of criminal and civil laws, and, should such an attempt be made, Administrator reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Administrator’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision or any other provision in these Official Rules.

12. RELEASE. By entering, each participant in this Sweepstakes, forever and irrevocably releases and holds harmless Spectrum, each Sponsor, and each of their related entities, and their respective agents, employees, advertising and promotion agencies, parent, affiliates, subsidiaries, other related entities, and prize suppliers, and all of their respective employees, officers, directors, shareholders and agents from and against all claims, damages or liabilities arising in whole or in part, directly or indirectly, from participant’s participation and/or entry in this Sweepstakes and/or participant’s award, receipt or use of any prize awarded in this Sweepstakes.

13. LIMITATIONS OF LIABILITY. Administrator, Spectrum and Sponsors are not responsible for: (a) incorrect or inaccurate transcription of entry information or late, lost, unintelligible, illegible, damaged, mutilated, altered, incomplete, or misdirected entries or entries received through impermissible or illegitimate channels, all of which will be disqualified; (b) technical failures of any kind, including but not limited to the malfunctioning of any telephone, computer online systems, computer equipment, website, server provider, network, hardware or software, including without limitation Administrator’s publishing tools; (c) the unavailability or inaccessibility of any website or service; (d) unauthorized intervention in any part of the entry process or this Sweepstakes; (e) printing, typographical, electronic or human errors which may occur in the offer or administration of this Sweepstakes or the processing of entries; (f) any injury or damage to persons or property, including but not limited to participant’s computer, which may be caused, directly or indirectly, in whole or in part, from participant’s participation in this Sweepstakes, use of any prize awarded in the Sweepstakes, or from viewing or downloading any material from Administrator’s website, regardless of whether the material was prepared by Administrator or a third party, and regardless of whether the material is connected to Administrator’s website by a hypertext link; or (g) any costs, expenses, claims, or liabilities related to winner’s receipt or use of a prize awarded hereunder.

14. DISPUTES. Participant agrees that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded shall be resolved individually, without resort to any form of class action, and solely and exclusively in a federal or state court located in Los Angeles, CA; participant submits to sole and exclusive personal jurisdiction to said courts in the State of California for any such dispute and irrevocably waives any and all rights to object to such jurisdiction; (b) any and all claims, judgments, and awards shall be limited to actual out of pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys’ fees; and (c) under no circumstances will participant be permitted to obtain awards for and participant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participant or Sweepstakes Entities in connection with this Sweepstakes shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules of provisions (whether of the State of California, the United States, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.

15. WINNER’S LIST. The winners list will be posted on the Sweepstakes landing page at https://partners.axs.com/spectrum-sweepstakes/ after the conclusion of the Sweepstakes, once all winners have been selected.
