1. GENERAL. The ‘Sip, Rock & Win Sweepstakes’ (the “Sweepstakes”) is a sweepstakes where eligible participants may have the chance to win the prize described below. The foregoing is a general description only of this Sweepstakes and is qualified in its entirety by these Official Rules.

2. ADMINISTRATOR. The administrator of this Sweepstakes is AXS Group LLC (“AXS” or “Administrator”).

3. SPONSORS. The sponsors of the Sweepstakes are AXS, having its principal place of business at 110 E. 9th Street, B800, Los Angeles, California 90079; Anschutz Entertainment Group, Inc. (“AEG”), having its principal place of business at 800 West Olympic Blvd., Suite 305, Los Angeles, CA 90015, U.S.A (AXS and AEG are collectively referred to as the “Sponsors”).

THIS SWEEPSTAKES IS IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH ANY SOCIAL MEDIA OUTLETS USED TO PROMOTE THIS SWEEPSTAKES, INCLUDING, BUT NOT LIMITED TO INSTAGRAM AND FACEBOOK.

4. ELIGIBILITY. This Sweepstakes is only open to individuals who, as of the beginning of the Entry Period (defined below): (i) are legal residents of the fifty (50) United States, excluding New York and Florida (the “Territory”); and (ii) are at least eighteen (18) years old at the time of entry. This Sweepstakes is void outside the Territory and where prohibited or restricted by law. Employees, officers and directors of Sponsors, their respective parents, affiliates, subsidiaries, divisions, and the immediate families (defined as parents, spouses, children, siblings, grandparents, and their respective spouses) or members of the same household (whether related or not) of each such employee, officer and director, are not eligible to enter. This Sweepstakes, and any website pages and advertisements relating thereto, is intended for viewing only within the Territory, and participants must be present in the Territory at the time they enter.

5. TIMING. This Sweepstakes begins at 10:00 AM Pacific Time on Wednesday, April 9, 2025, and ends at 12:00 PM Pacific Time on Tuesday, April 29, 2025 (the “Entry Period”).

6. HOW TO ENTER. Each participant will earn one entry for each Qualifying Entry (as defined below). Each participant is limited to one (1) Qualifying Entry. A “Qualifying Entry” is the submission of the requested information into the form provided (the “Entry Form”). By entering in this Sweepstakes participant agrees to the Sweepstakes Official Rules, including all terms and conditions herein. All Qualifying Entries must be received by Sponsors during the Entry Period in order to qualify for entry as described herein. Winners will be contacted by email sent to the email address provided in the Entry Form, with further instructions on how to claim the prize; failure to respond to the email message within forty-eight (48) hours may result in disqualification. Winners will be notified during the Notice Period as defined in Section 8 below. By participating in this Sweepstakes participant acknowledges and agrees to AXS’ Terms of Use and all prizes are awarded subject to the terms in the AXS Purchase Agreement.

Administrator will review all entries to confirm that the entries meet the qualifications set forth herein. Submissions that contain vulgarity, inappropriate content, third parties that are under the age of majority, originate outside the Territory, and/or otherwise do not confirm with the Official Rules shall not be deemed a Qualifying Entry. Additionally, by participating in this Sweepstakes participant consents to Administrator’s collection and usage of the content submitted in the Entry Form. Participants are also advised and agree that in the event they are selected as a winner, the Entry Form information and/or information collected by AXS from Winner(s) shall be shared with Sponsors and the City and County of Denver, for the purpose of fulfilling the prizes awarded as set forth in Section 9 below. If any content submitted by publication is not deemed a Qualifying Entry by Administrator, such entries will not be deemed eligible toward an entry into the Sweepstakes. In addition, if Administrator determines that any participant does not meet the requirements set forth herein as determined by Administrator, such participant will be disqualified from the Sweepstakes. All participants and entries are subject to verification prior to the awarding of the prize. By accepting the prize in this Sweepstakes, each winner fully and unconditionally agrees to be bound by and accepts these Official Rules and the decisions of Administrator (including, without limitation, decisions regarding eligibility of entries, the selection of participants and the winners, and the awarding of prizes), which are final and binding in all respects. In addition, if you are notified that you are a potential winner and you do not wish to accept the prize, you may decline the prize at that time.

7. PRIVACY. Participant acknowledges and agrees that by entering into the Sweepstakes, the information that Participant provides in the Entry Form (including any personal information) may be shared with Sponsors for their respective business and marketing purposes in accordance with their respective privacy policies. Participant further acknowledges that they have read and accepted the terms of each Sponsor’s privacy policy. Participant further acknowledges and agrees that in the event they are selected as a winner, the Entry Form information will be shared with the City and County of Denver, for purposes of fulfilling one (1) or more of the prize elements.

8. DRAWINGS; ODDS; NOTIFICATION. Subject to the terms and conditions of these Official Rules:

Administrator will randomly select ten (10) potential prize winners for the Tier 1 Prize and one (1) potential prize winner for the Tier 2 prize (as defined in Section 9 below), from among all eligible entries received by Administrator in the Sweepstakes after the Entry Period closes and the winner will be notified shortly thereafter (the “Notice Period”). Odds of winning the prize depend on the number of eligible entries received by Administrator in the Sweepstakes at the time of each drawing. No individual entrant is eligible to be a winner in more than one (1) contest or sweepstakes sponsored by Sponsors in any calendar month as determined by the ending date of the applicable contest or sweepstakes. In addition, Winner(s) of a Tier 1 Prize will not be eligible to win a Tier 2 Prize and vice versa. If prizes are not timely claimed, i.e., if prize is not claimed within forty-eight (48) hours after timestamp on the email from Administrator, Administrator reserves the right to randomly select an alternate winner, time permitting.

Participants must comply with all terms and conditions of these Official Rules and winning is contingent upon fulfilling all requirements. Potential winners will be notified by email as provided on the Entry Form. Potential winners may, in Administrator’s discretion, be required to execute and return to Administrator an Affidavit of Eligibility and Release (an “Affidavit/Release”) in the form provided by Administrator to claim their prize. Such Affidavit/Release must be returned to Administrator by the date and/or time indicated within such documents. If a potential winner does not reply to Sponsor’s email within 48 hours of the first attempt to contact them, or if a potential winner fails to return the Affidavit/Release within the specified time, or if any prize or prize notification is returned as undeliverable, or if a potential winner is found to be ineligible, or if a potential winner does not comply with the Official Rules, then the potential winner may be disqualified and an alternate winner selected by Administrator or its designee in their place based on the selection criteria described above by Administrator for the Sweepstakes. In such event, an alternate potential prize winner will be notified as described above and will be required to return the required documents to Administrator as described above.

9. PRIZES. Tier 1 Prize – Subject to the terms and conditions of these Official Rules, a total of ten (10), AXS Gift Cards, each in the amount of Five Hundred Dollars ($500) (the “Tier 1 Prize”), will be awarded in the Sweepstakes. AXS Gift Card may only be redeemed on AXS.com and have no cash value. A total of ten (10) unique winners will be selected for the Tier 1 Prize. The Tier 1 Prize will be delivered by AXS to each winner via email through AXS’s gift card provider, GiveX. Use and redemption of AXS Gift Card(s) is subject to any separate GiveX and/or AXS Gift Card terms and conditions. Only one (1) Tier 1 Prize per winner is permitted and Tier 1 Prize winners are not eligible to win the Tier 2 Prize.

Tier 2 Prize (Grand Prize) – Subject to the terms and conditions of these Official Rules, a total of one (1) grand prize will be awarded. The prize includes: two (2) general admission tickets to an event in 2025 at Red Rocks Amphitheatre in Morrison, CO (the “Event”), round trip, economy class airfare for two (2) from the major airport nearest prize winner’s home within the U.S. to the major airport nearest to the Event venue (to be awarded as a United Airlines travel voucher only); one (1) double occupancy hotel room for three (3) days and two (2) nights at a hotel near the Event; a $150 hotel dining credit (alcohol not included); and one (1) Red Rocks merchandise package (the “Tier 2 Prize”). By claiming the Event tickets winner and guest consent to AXS’ Terms of Use and the terms in the AXS Purchase Agreement and any other venue policies. Resale of Event tickets is strictly prohibited. Selection of Event seats are at the discretion of the Sponsors, promoter and/or venue personnel. Selection of hotel and any room assignments are at the discretion of the Sponsors, and/or hotel personnel. In connection with the hotel room provided to winner, only the room rate, tax, and resort fees and the $150 dining credit are complimentary, and date(s) of winner’s stay are subject to availability and blackout dates. Winner will be required to provide a valid credit card upon hotel check-in for the purpose of payment of all incidental charges and other charges incurred during the stay, that are not included in the Tier 2 Prize, which are payable by winner upon checkout. No-show room nights shall be deemed used and shall not be re-scheduled or refunded. All other expenses not specifically mentioned herein (including, but not limited to local travel, such as travel to or from the airport or to and from hotel to Event venue), will not be provided and are solely the winner’s responsibility. Winner and guest must abide by all venue policies. Tier 2 Prize winner is not eligible to win any Tier 1 Prize.

AXS reserves the right to revoke full or partial prize from any winner or winner’s guest who AXS or venue personnel deem in their sole discretion, to be intoxicated, a safety risk, have violated any venue policy or law, or may bring the Sponsors into disrepute. Winner and travel guest must be able to travel on select specified travel dates communicated to winner by Administrator or Sponsors. If winner is unable or unwilling to travel on the dates specified, the prize will be forfeited and may be awarded to an alternate winner. All travel is subject to availability and restrictions. Winner and travel guest must travel on same itinerary. Winner and guest must be at least eighteen (18) years of age or older. Winner and travel guest may be required to sign and return a travel release before any ticketing of travel occurs. Winner and guest must have all necessary identification and/or travel documents (e.g., a valid U.S. government issued passport, or a valid state-issued driver’s license or Real ID-compliant license or ID, as applicable) required for travel. Winner and guest must comply with all airline and local government laws, rules and requirements. Winner understands that there are inherent risks involved in travel and that these risks may be present before, during and after the trip. Sponsors are not responsible for changes in schedule of any element of the prize or for any expenses incurred as a consequence of flight cancellation or delays. Sponsors are not responsible and will have no liability if winner and/or guest is for any reason not permitted to travel by the relevant airport authorities or misses a flight or other travel element. Any unclaimed and/or unused prize element will remain the property of Sponsors.

Winner and guest must abide by all hotel policies. Sponsors reserve the right to revoke full or partial prize from any winner or winner’s guest who Sponsor(s) or hotel personnel deem in their sole discretion, to be intoxicated, a safety risk, have violated any hotel policy or law, or may bring the Sponsors into disrepute. No purchase is necessary or required to access the prize. Prizes must be accepted as awarded, and prizes are awarded “AS IS” with no warranty, representation, or guarantee, express or implied, in fact or in law, made by Sponsors or for which Sponsors shall be liable, INCLUDING, WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. No substitution, assignment or transfer of a prize is permitted, except by Sponsors, who reserve the right (but not the obligation) to substitute an element of the prize with another prize of greater or equal value, including cash, if a prize element is not available for any reason, as determined by Sponsors in their sole discretion. Each winner is solely and fully responsible for any and all costs, fees, taxes, assessments and expenses associated with the prize award, receipt and use, including, without limitation, all federal, state and local taxes on the prize. Winner must provide Administrator with a valid W-9 form before any prize is awarded and Administrator will issue winner an IRS Form 1099-MISC for the approximate retail value (“ARV”) of the prize won (for prizes valued US$600 or more, in accordance with IRS tax reporting requirements).

The approximate retail value (“ARV”) of each Tier 1 Prize awarded under this Sweepstakes is: Five Hundred Dollars ($500), per prize (and Five Thousand Dollars ($5,000) for all Tier 1 Prizes awarded).

The ARV of the Tier 2 Prize awarded under this Sweepstakes is: Nine Thousand Seven Hundred Fifty Dollars ($9,750).

The ARV of all prizes awarded under this Sweepstakes is: Ten Thousand Two Hundred Fifty Dollars ($10,250).

10. PUBLICITY. Except where prohibited by law, participation in this Sweepstakes constitutes participant’s consent to Administrator and Sponsors’ (and their respective related entities, successors’, assignees’, designees’) use of winner’s name (first name and first initial of last name only), state of residence, for purposes of inclusion in the Winner’s List and for promotional purposes in any manner or media (including, without limitation, online), worldwide, in perpetuity, and without further payment, consideration, notice or consent.

11. GENERAL CONDITIONS. Administrator reserves the right, in its sole discretion, to terminate or suspend this Sweepstakes: (i) if, in Administrator’s opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of this Sweepstakes; (ii) if viruses, bugs, unauthorized intervention, fraud, technical difficulties or failures or any other factor beyond Sponsors’ reasonable control corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes; or (iii) for any other reason in Administrator’s sole discretion. In such event, Administrator reserves the right (but does not have the obligation) in its sole discretion to award any or all of prize(s) at random from among eligible, non-suspect entries received up to the time of suspected impairment. Administrator reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of this Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately damage any website or undermine the legitimate operation of this Sweepstakes is a violation of criminal and civil laws, and, should such an attempt be made, Administrator reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Administrator’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision or any other provision in these Official Rules.

12. RELEASE. By entering, each participant in this Sweepstakes, forever and irrevocably releases and holds harmless Administrator, Sponsors, PepsiCo, Inc., Pepsi-Cola Company and its bottlers and the City and County of Denver, and each of their related entities, and their respective agents, employees, advertising and promotion agencies, parent, affiliates, subsidiaries, other related entities, and prize suppliers, and all of their respective employees, officers, directors, shareholders and agents from and against all claims, damages or liabilities arising in whole or in part, directly or indirectly, from participant’s participation and/or entry in this Sweepstakes and/or participant’s award, receipt or use of any prize awarded in this Sweepstakes.

13. LIMITATIONS OF LIABILITY. Administrator and Sponsors are not responsible for: (a) incorrect or inaccurate transcription of entry information or late, lost, unintelligible, illegible, damaged, mutilated, altered, incomplete, or misdirected entries or entries received through impermissible or illegitimate channels, all of which will be disqualified; (b) technical failures of any kind, including but not limited to the malfunctioning of any telephone, computer online systems, computer equipment, website, server provider, network, hardware or software, including without limitation Administrator’s publishing tools; (c) the unavailability or inaccessibility of any website or service; (d) unauthorized intervention in any part of the entry process or this Sweepstakes; (e) printing, typographical, electronic or human errors which may occur in the offer or administration of this Sweepstakes or the processing of entries; (f) any injury or damage to persons or property, including but not limited to participant’s computer, which may be caused, directly or indirectly, in whole or in part, from participant’s participation in this Sweepstakes, use of any prize awarded in the Sweepstakes, or from viewing or downloading any material from Administrator’s website, regardless of whether the material was prepared by Administrator or a third party, and regardless of whether the material is connected to Administrator’s website by a hypertext link; or (g) any costs, expenses, claims, or liabilities related to winner’s receipt or use of a prize awarded hereunder.

14. DISPUTES. Participant agrees that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded shall be resolved individually, without resort to any form of class action, and solely and exclusively in a federal or state court located in Los Angeles, CA; participant submits to sole and exclusive personal jurisdiction to said courts in the State of California for any such dispute and irrevocably waives any and all rights to object to such jurisdiction; (b) any and all claims, judgments, and awards shall be limited to actual out of pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys’ fees; and (c) under no circumstances will participant be permitted to obtain awards for and participant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participant or Sponsors in connection with this Sweepstakes shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules of provisions (whether of the State of California, the United States, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.

15. WINNER’S LIST. The winners list will be posted on the Sweepstakes landing page after the conclusion of the Sweepstakes, once all winners have been selected.
